NO PURCHASE OR PAYMENT OF ANY KIND IS NECESSARY TO ENTER OR WIN THIS SWEEPSTAKES.  A PURCHASE OR PAYMENT OF ANY KIND WILL NOT INCREASE YOUR CHANCES OF WINNING.

  • ENTRANTS (DEFINED BELOW) AGREE THAT ALL DISPUTES WILL BE RESOLVED SOLELY BY BINDING ARBITRATION AND ENTRANTS WAIVE THE ABILITY AND RIGHT TO BRING CLAIMS IN A CLASS ACTION FORMAT OR BRING CLAIMS IN A COURT OF LAW.  
  • THIS SWEEPSTAKES IS IN NO WAY SPONSORED, ENDORSED, ADMINISTERED BY, OR ASSOCIATED WITH INSTAGRAM OR META. BY PARTICIPATING, EACH ENTRANT RELEASES INSTAGRAM AND META FROM ANY AND ALL LIABILITY ASSOCIATED WITH THIS SWEEPSTAKES.

BY ENTERING (OR OTHERWISE PARTICIPATING IN) THE SWEEPSTAKES, ENTRANTS AGREE TO THESE OFFICIAL RULES, WHICH ARE A BINDING CONTRACT, SO READ THEM CAREFULLY BEFORE ENTERING.  WITHOUT LIMITATION, THIS CONTRACT INCLUDES INDEMNITIES TO THE SWEEPSTAKES ENTITIES FROM YOU AND A LIMITATION OF YOUR RIGHTS AND REMEDIES.

1.  Eligibility.  The Vesta Fitness Sweepstakes (the “Sweepstakes”) is open only to individuals who are legal residents of and physically located in the contiguous 48 United States and who are at least eighteen (18) years of age at the time of entry.

Employees, officers and directors of Vesta Fitness (“Sponsor”), as well as Sponsor’s affiliates, subsidiaries, advertising and promotion agencies, influencers who promote the Sweepstakes, and any other prize sponsors or providers (collectively with Sponsor, the “Sweepstakes Entities”), are not eligible to enter or win. Immediate family members of these individuals and persons living in the same household are also not eligible to enter or win.

For purposes of the Sweepstakes, “immediate family members” include spouses, partners, parents, legal guardians, in-laws, grandparents, siblings, children and grandchildren. “Persons living in the same household” means individuals who share the same residence for at least three (3) months of the year, whether or not legally related.

Void where prohibited by law. By participating in the Sweepstakes, each entrant agrees to comply with and be bound by these Official Rules and the decisions of Sponsor regarding the administration and interpretation of the Sweepstakes, which will be final and binding in all respects. 

2.  Entry Period.  The Sweepstakes begins October 1st, 2026 and all entries must be received by the Sponsor on or before 11:59pm PT on October 31st, 2026 (the “Entry Period”).  The Sponsor’s designated database clock will be the official timekeeper for this Sweepstakes.

3.  How to Enter. During the Entry Period, eligible individuals may enter the Sweepstakes by completing all of the following steps:

  1. Like the official Vesta Fitness giveaway post on Instagram.
  2. Follow @vesta.fitness on Instagram.
  3. Tag one (1) friend in the comments of the official giveaway post.
  4. Complete and submit the official Sweepstakes entry form available through the “Enter Giveaway” link in Vesta Fitness’s Instagram bio and provide the following required information:
    • First name
    • Last name
    • Email address
    • Instagram handle

All four (4) steps must be completed during the Entry Period for an entry to be eligible. Entrants must have a valid Instagram account and must comply with Instagram’s applicable terms and policies. Creating an Instagram account is free.

Optional Marketing Communications. The entry form will provide entrants with the option to separately consent to receive marketing emails from Vesta Fitness, including promotional offers, product updates and news. Consent to receive marketing emails is not a condition of purchase or entry into the Sweepstakes and will not affect an entrant’s odds of winning. Entrants who opt in may unsubscribe from marketing emails at any time using the unsubscribe link included in Vesta Fitness marketing emails. Personal information will be handled in accordance with Vesta Fitness’s Privacy Policy.

Entry Limit. Limit one (1) entry per person during the Entry Period. Subsequent attempts by the same individual to submit multiple entries using different or false contact information, Instagram accounts, email addresses or other methods may result in disqualification at Sponsor’s discretion.

Entries generated by scripts, bots, automated programs, macros or other automated means are void. Entries that are incomplete, false, fraudulent, late, misdirected, submitted outside the Entry Period, or otherwise fail to comply with these Official Rules may be disqualified.

Sponsor is not responsible for entries that are lost, late, incomplete, misdirected, corrupted, not received, or otherwise unable to be verified due to technical errors, platform issues, Internet connectivity, incorrect information provided by an entrant, or other circumstances beyond Sponsor’s reasonable control.

In the event of a dispute regarding the identity of an entrant, Sponsor may require the entrant to provide reasonable proof that they are the authorized holder of the email address and/or Instagram account associated with the entry. If Sponsor is unable to verify the identity or eligibility of an entrant, the entry may be deemed ineligible.

Sponsor may disqualify any entrant who fails to complete the required entry steps, provides false or misleading information, attempts to circumvent the entry limit, interferes with the administration or integrity of the Sweepstakes, or otherwise fails to comply with these Official Rules.

The Sweepstakes Entities may conduct other promotions, contests or sweepstakes during the same period. Entry into this Sweepstakes does not constitute entry into any other promotion.

 

4.  Selection of Winner and Claiming of Prize. One (1) potential winner will be selected through a random drawing from all eligible entries received in accordance with these Official Rules. Sponsor’s decisions regarding the administration of the Sweepstakes, interpretation of these Official Rules, and selection of the potential winner will be final and binding.

The potential winner will be notified on November 5, 2026, using the email address and/or Instagram handle provided at the time of entry. Sponsor may also announce the potential winner through an Instagram Story on the official Vesta Fitness Instagram account and/or contact the potential winner through a direct message from @vesta.fitness.

The potential winner must respond within forty-eight (48) hours of the first attempted notification. If the potential winner does not respond within forty-eight (48) hours, cannot be contacted, declines the prize, or is determined to be ineligible or otherwise not in compliance with these Official Rules, the potential winner may be disqualified, the prize will be forfeited, and Sponsor may select an alternate potential winner through a random drawing from the remaining eligible entries.

Sponsor and the Sweepstakes Entities are not responsible for false, incorrect, changed or incomplete contact information provided by an entrant, or for communications that are lost, delayed, misdirected, filtered as spam or junk mail, blocked, or otherwise undeliverable.

Before being confirmed as the winner, the potential winner may be required to provide reasonable proof of eligibility and identity, including a valid government-issued ID, and to complete and return any documentation reasonably required by Sponsor for eligibility verification, prize acceptance, tax reporting and prize fulfillment. Such documentation may include an affidavit of eligibility and prize acceptance agreement and must be returned within forty-eight (48) hours of Sponsor’s request, unless Sponsor specifies a different reasonable deadline.

Failure to provide required documentation within the applicable deadline, failure to satisfy the eligibility requirements, failure to comply with these Official Rules, or refusal or inability to accept the prize may result in disqualification and selection of an alternate potential winner.

The potential winner will not be considered the official winner until Sponsor has verified the potential winner’s eligibility and compliance with these Official Rules and all required documentation has been completed and accepted by Sponsor.

5.  Odds. Odds of winning depend on the total number of eligible entries received.

6.  Prize and Approximate Retail Value. One (1) prize will be awarded in this Sweepstakes:

Prize: One (1) Vesta Fitness VForce 2IN1 Freestanding Standard
Approximate Retail Value (“ARV”): $4,599.00

The prize is non-transferable and may not be redeemed or exchanged for cash, except at Sponsor’s sole discretion. Sponsor reserves the right to substitute the prize with a prize of equal or greater value if the advertised prize becomes unavailable for any reason.

All prize details not specifically stated in these Official Rules will be determined by Sponsor. The prize is awarded “AS IS,” subject to any applicable manufacturer warranties.

The winner is solely responsible for all applicable federal, state and local taxes and any other costs or expenses associated with acceptance or use of the prize that are not expressly stated in these Official Rules as being provided by Sponsor.

The winner will be required to provide Sponsor with the information and documentation reasonably necessary for applicable tax reporting, including a completed IRS Form W-9. The value of the prize will be reported to the appropriate tax authorities as required by law, and the winner may receive an IRS Form 1099 reflecting the actual value of the prize awarded.

If the winner fails to claim or accept the prize, fails to provide required documentation within the applicable deadline, is determined to be ineligible, or otherwise fails to comply with these Official Rules, the prize may be forfeited and an alternate potential winner may be selected in accordance with Section 4.

The total ARV of all prizes available in this Sweepstakes is $4,599.00. The winner will not be entitled to receive any difference between the stated ARV and the actual retail value of the prize at the time it is awarded.

7. Shipping, Delivery & Installation.

The Sponsor will provide free standard curbside shipping of the prize to the winner’s residential address within the contiguous 48 United States. It is the winner’s sole responsibility to ensure safe receipt of the prize at delivery. Assembly, setup, and installation services are not included. Any additional services requested by the winner, such as white-glove delivery or in-home installation, will be at the winner’s sole cost and responsibility. The Sweepstakes Entities are not liable for any damage or loss occurring after the prize has been delivered curbside.

8.  Publicity.  Subject to applicable law, the confirmed winner agrees that Sponsor may use the winner’s name, likeness, photograph and/or statements regarding the Sweepstakes for reasonable advertising, promotional and publicity purposes related to the Sweepstakes, including on Vesta Fitness’s website, social media channels and marketing materials, without additional compensation, notice or approval, except where prohibited by law.

9.  Tampering with Sweepstakes. Sponsor reserves the right to disqualify any entrant who Sponsor reasonably determines has attempted to tamper with or interfere with the entry process or the administration, security, fairness or integrity of the Sweepstakes, or who has otherwise violated these Official Rules.

Prohibited conduct includes, but is not limited to, submitting fraudulent or unauthorized entries, attempting to circumvent the entry limit, using automated methods to enter, providing false or misleading information, interfering with the Sweepstakes or its associated website or social media platform, or attempting to gain an unfair advantage over other entrants.

Sponsor may also disqualify an entrant who engages in conduct intended to disrupt the Sweepstakes or threaten, harass or abuse Sponsor, other entrants or any other person in connection with the Sweepstakes.

Any deliberate attempt to damage a website, social media platform or other system used in connection with the Sweepstakes, or to undermine the legitimate operation of the Sweepstakes, may violate applicable civil or criminal laws. Sponsor reserves the right to pursue available remedies to the extent permitted by applicable law.

10.  Suspension, Modification or Termination.  Sponsor reserves the right to modify, suspend or terminate the Sweepstakes if circumstances beyond Sponsor’s reasonable control interfere with the administration, security, fairness, integrity or proper operation of the Sweepstakes.

Such circumstances may include, without limitation, technical failures, platform disruptions, natural disasters, acts of government, public emergencies, fraud, unauthorized intervention or other events that make it impractical or impossible to continue the Sweepstakes as intended.

If the Sweepstakes is terminated before the end of the Entry Period, Sponsor may, where reasonably practicable, select the potential winner through a random drawing from among all eligible entries received before the Sweepstakes was affected.

11.  Limitations of Liability and Release. By participating in the Sweepstakes, each entrant agrees, to the extent permitted by applicable law, to release and hold harmless Vesta Fitness, Instagram, and each of their respective affiliates, subsidiaries, advertising and promotion agencies, officers, directors, employees, agents, representatives, successors and assigns (collectively, the “Released Parties”) from and against claims, liabilities, losses, damages or injuries arising out of or relating to:

(a) participation in the Sweepstakes;

(b) acceptance, possession, use or misuse of the prize;

(c) any incorrect or inaccurate information, whether caused by an entrant, technical error or equipment or programming associated with or used in connection with the Sweepstakes;

(d) technical failures of any kind, including malfunctions, interruptions or disconnections involving networks, hardware, software, Internet services, email or Instagram;

(e) unauthorized human intervention in any part of the entry process or administration of the Sweepstakes; or

(f) errors in the administration, operation or announcement of the Sweepstakes or prize.

The Released Parties are not responsible for entries or communications that are lost, late, incomplete, misdirected, corrupted, delayed or not received due to technical, platform, Internet, email or other errors beyond Sponsor’s reasonable control.

The Released Parties are also not responsible for changes to, interruptions of, or the unavailability of Instagram or any other third-party service used in connection with the Sweepstakes that may affect an entrant’s ability to enter, receive communications or otherwise participate in the Sweepstakes.

Nothing in these Official Rules is intended to exclude or limit any liability or right that cannot legally be excluded or limited under applicable law.

12.  Entry Information, Privacy and Communications. Information collected in connection with the Sweepstakes, including an entrant's name, email address and Instagram handle, may be used by Sponsor to administer the Sweepstakes, verify eligibility, communicate with entrants and potential winners, fulfill the prize, and comply with applicable laws. Personal information will be collected, used and disclosed in accordance with Vesta Fitness's Privacy Policy.

Entrants may separately elect to receive marketing communications from Vesta Fitness by selecting the optional marketing opt-in on the entry form. Consent to receive marketing communications is not required to enter or win the Sweepstakes and will not affect an entrant's odds of winning. Entrants who opt in may unsubscribe from marketing communications at any time using the unsubscribe link provided in Vesta Fitness marketing emails.

13.  Governing Law / Limitation of Liability.  All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of entrants, Sponsor and the Released Parties in connection with the Sweepstakes, will be governed by and construed in accordance with the laws of the State of California, without giving effect to any choice-of-law or conflict-of-law rules that would result in the application of the laws of another jurisdiction.

By entering the Sweepstakes, each entrant agrees that, to the extent permitted by applicable law:

(a) any and all disputes, claims and causes of action arising out of or relating to the Sweepstakes or the prize awarded will be resolved individually and not as part of any class action;

(b) any claims, judgments and awards will be limited to actual third-party, out-of-pocket costs incurred, if any, not to exceed ten dollars ($10.00), and attorneys’ fees will not be awarded or recoverable; and

(c) the entrant waives the right to seek punitive, incidental, consequential or special damages, lost profits, multiplied or increased damages, or any other damages other than actual out-of-pocket expenses not to exceed ten dollars ($10.00).

Some jurisdictions do not allow certain limitations or exclusions of liability, so some or all of the above limitations may not apply to you.

14.  Dispute Resolution. The parties each agree to finally settle all disputes only through arbitration; provided, however, the Sponsor shall be entitled to seek injunctive or equitable relief in the state and federal courts in Santa Fe Springs, California, and any other court with jurisdiction over the parties. In arbitration, there is no judge or jury and review is limited. The arbitrator’s decision and award is final and binding, with limited exceptions, and judgment on the award may be entered in any court with jurisdiction. The parties agree that, except as set forth above, any claim, suit, action or proceeding arising out of or relating to this Sweepstakes shall be resolved solely by binding arbitration before a sole arbitrator under the streamlined Arbitration Rules Procedures of JAMS Inc. (“JAMS”) or any successor to JAMS. In the event JAMS is unwilling or unable to set a hearing date within fourteen (14) days of the filing of a “Demand for Arbitration”, then either party can elect to have the arbitration administered by the American Arbitration Association (“AAA”) or any other mutually agreeable arbitration administration service. If an in-person hearing is required, then it will take place in Santa Fe Springs, California. The federal or state law that applies to these Official Rules will also apply during the arbitration. Disputes will be arbitrated only on an individual basis and will not be consolidated with any other proceedings that involve any claims or controversy of another party, including any class actions; provided, however, if for any reason any court or arbitrator holds that this restriction is unconscionable or unenforceable, then the agreement to arbitrate doesn’t apply and the dispute must be brought in a court of competent jurisdiction in Santa Fe Springs,California.  Sponsor agrees to pay the administrative and arbitrator’s fees in order to conduct the arbitration (but specifically excluding any travel or other costs of entrant to attend the arbitration hearing).  Either party may, notwithstanding this provision, bring qualifying claims in small claims court.

15.  Winner List. To request the name of the winner, send a stamped, self-addressed envelope within sixty (60) days following the end of the Entry Period to: Vesta Fitness, Attn: Sweepstakes Winner List, 8808 Pioneer Blvd, Santa Fe Springs, CA 90670. Please include the name of the Sweepstakes with your request. 

16.  Miscellaneous. The invalidity or unenforceability of any provision of these Official Rules will not affect the validity or enforceability of any other provision. If any provision of these Official Rules is determined to be invalid, illegal or otherwise unenforceable, the remaining provisions will remain in effect and will be construed in accordance with their terms as if the invalid, illegal or unenforceable provision were not contained herein.

Sponsor’s failure to enforce any provision of these Official Rules will not constitute a waiver of that provision. Headings are included solely for convenience and will not affect the meaning or interpretation of these Official Rules.

In the event of any discrepancy or inconsistency between these Official Rules and any Sweepstakes-related advertising, promotional materials, social media posts, website content or other communications, these Official Rules will prevail, govern and control.

17.  Identification of Sponsor/Administrator.  This Sweepstakes is sponsored and administered by Vesta Fitness, 8808 Pioneer Blvd, Santa Fe Springs, CA 90670.  Reference to third parties in connection with prize(s) and/or third party websites or services are for reference and identification purposes only and not intended to suggest endorsement, sponsorship or affiliation with Sponsor or the Sweepstakes.
